As previously disclosed in a Current Report on Form 8-K filed on February 11, 2022 with the Securities and Exchange Commission, on February 10, 2022, Cepton, Inc., a Delaware corporation (the “Company”) (f/k/a Growth Capital Acquisition Corp.), consummated its previously announced business combination (the “Business Combination”) pursuant to that certain Business Combination Agreement, dated August 4, 2021, and as amended, by and among the Company, GCAC Merger Sub Inc., a Delaware corporation and a wholly owned subsidiary of the Company, and Cepton Technologies, Inc., a Delaware corporation.
The Quarterly Report on Form 10-Q for the quarterly period ended December 31, 2021 (the “Form 10-Q”) of the Company could not be filed by the prescribed time due to the Company’s efforts to consummate the Business Combination. The Company is working diligently to complete the Form 10-Q as soon as possible and expects to file such report within five calendar days hereof.
